Payment Code Service Agreement

This Agreement is entered into between Tenpay Payment Technology Co., Ltd. (hereinafter referred to as the "Company" or "Tenpay") and the user (hereinafter referred to as "you"). Tenpay reminds you to carefully read and fully understand the terms of this Agreement and the related agreements, especially the terms on exemption, limitation of liability or rights, dispute resolution and governing law. Please read carefully and decide whether to accept this Agreement and the related agreements (minors should read this Agreement and related agreements with their guardians).

I. Payment code service

The payment code service refers to the payment code display technology service provided by the Company to you. You can obtain a payment code (QR code, barcode) by tapping "Me - Services - Money" or "WeChat - '+' in the upper-right corner - Money" on the WeChat app. The merchant can scan the payment code (QR code, barcode) on your mobile phone with a barcode scanner and deduct payment (hereinafter referred to as the "Service"). The payment code service can be categorized into Weixin Pay user payment code service and other payment code services. In particular:

1. with respect to the Weixin Pay user payment code service, after scanning the payment code (QR code, barcode) on your mobile phone with a barcode scanner, the merchant can initiate a transaction debit request to Tenpay, and Tenpay has the right to deduct the transaction amount, if within a certain limit, from your payment account and the linked bank account and transfer such amount to the merchant's account, without verifying your payment password, SMS dynamic code, or other transaction instruction verification factors.

2. with respect to other payment code services, in some scenarios, when using payment code technology services supported by Tenpay or Tenpay in collaboration with Shenzhen Tencent Computer Systems Co. Ltd., you may select other payment methods to complete your transactions, subject to the payment methods available when making payments. For such payment code services, the Company only provides payment code display technology services, and does not provide payment services.

II. Provisions applicable to Weixin Pay user payment code service

1. When using the Weixin Pay user payment code service, you shall abide by this Agreement, the "Tenpay Service Agreement", the "Weixin Pay User Service Agreement" as well as related agreements.

2. Password-free payment authorization

You confirm and agree that when you use the Weixin Pay user payment code service for the first time, Tenpay will verify your payment password. By entering your payment password, you authorize Tenpay to deduct transaction amount within a certain amount from your payment account and linked bank account and transfer such amount to the merchant's account without verifying your payment password or other transaction instruction verification factors.

3. Limitation on password-free payment amount

After activating the Weixin Pay user payment code service, Tenpay will set/adjust your password-free transaction limit based on regulatory requirements, payment scenarios, transaction risk controls, location and other factors. Please refer to the service prompts or actual payment prompts for details. Transaction amounts within the limit can be paid without verifying the payment password or other transaction instruction verification factors. Payment password verification is required for payments exceeding the limit.

4. Safety instructions

(1) The Weixin Pay payment code (QR code, barcode) is an important basis for Tenpay to deduct money from your payment account and bank account. Please make sure that you secure the payment code (QR code, barcode) and your hardware equipment , and do not provide your payment code (QR code, barcode) information (including the image and digital information of the payment code (QR code, barcode)) to unintended recipients.

(2) You shall bear any relevant risks and losses arising from your failure to secure your equipment and payment code (QR code, barcode) information.

(3) If you need to suspend the use of the Weixin Pay payment code service, you can tap "Me - Services - Money - '...' in the upper right corner - Disable" or "WeChat - '+' in the upper right corner - Money - '...' in the upper right corner - Disable" on the WeChat app to suspend use. Tenpay will verify your payment password when you reactivate the Weixin Pay payment code service after suspending use.

III. Provisions applicable to other payment code service

1. When using the other payment code services, you shall abide by this Agreement, the Technical Service Agreement, as well as related agreements.

2. Safety instructions

(1) Please make sure that you secure the payment code (QR code, barcode) and your hardware equipment, and do not provide your payment code (QR code, barcode) information (including the image and digital information of the payment code (QR code, barcode)) to unintended recipients.

(2) You shall bear any relevant risks and losses arising from your failure to secure your equipment and payment code (QR code, barcode) information.

(3) If you need to suspend the use of the other payment code services, you can tap "Me - Services - Money - '...' in the upper right corner - Disable" or "WeChat - '+' in the upper right corner - Money - '...' in the upper right corner - Disable" on the WeChat app to suspend use.

IV. Others

1. The existence, validity, performance, or interpretation of, or any dispute arising out of or related to, this Agreement shall be governed by the laws of the Mainland of the People's Republic of China (without regard to conflict of law). If any dispute or controversy arises between you and Tenpay, it shall first be resolved through friendly negotiation; in the event that negotiation fails, you agree to submit the dispute or controversy to the people's court with jurisdiction where this Agreement is signed (Nanshan District, Shenzhen) for resolution.

2. In case of any conflict between the related agreements and this Agreement, this Agreement shall prevail.

3. Matters not agreed upon in this Agreement shall be handled in accordance with the related agreements.

4. If this Agreement is revised, Tenpay will promptly inform you or publicize it in an appropriate manner in accordance with laws, regulations and regulatory requirements; if you continue to use the payment code service, you will be deemed to have agreed to the latest revised agreement; if you do not agree, you must stop using the payment code service immediately.
